Terms and Conditions

These Terms and Conditions govern the professional relationship between AV Analytics, LLC and our clients. By engaging our services, you agree to the following legal framework designed to ensure transparency, security, and quality in all analytical testing operations.

1. Service Agreement Overview

AV Analytics, LLC provides independent laboratory testing and analytical services. These terms define the scope of work, including method development, sample analysis, and the delivery of validated Certificates of Analysis (COAs) to the client.

2. Payment and Billing Terms

Clients shall pay the fees set forth in the individual service proposal. Standard payment terms are net 30 days from the date of invoice unless otherwise specified. Late payments may result in the suspension of future testing services.

3. Intellectual Property & Confidentiality

All analytical methods developed specifically for a project remain the intellectual property of AV Analytics, LLC unless otherwise agreed. All client data and sample details are handled with strict confidentiality and stored in secure, restricted-access systems.

4. Liability and Disclaimers

AV Analytics, LLC warrants that services are performed with professional care. However, liability is limited to the cost of the specific analysis performed. No warranties beyond the accuracy of the provided report under existing SOPs are implied.

5. Termination of Services

Either party may terminate the agreement with 30 days' written notice. In the event of termination, the client is responsible for payment for all services completed up to the termination date, including method development work.

  • 6. Force Majeure. AV Analytics is not liable for failures due to circumstances beyond its reasonable control.
  • 7. Sample Retention. Unless otherwise requested, samples are disposed of 30 days post-report.
  • 8. Regulatory Compliance. Services are performed in accordance with applicable state and federal laws.
  • 9. Subcontracting. We reserve the right to engage specialized partners for specific testing parameters with client notice.
  • 10. Limitation of Claims. Any claims must be filed within six months of the report date.
  • 11. Independent Contractor Status. The relationship is that of independent entities, not partners or joint ventures.
  • 12. Governing Law. This agreement is governed by the laws of the jurisdiction where the laboratory is located.
  • 13. Severability. If any provision is found invalid, the remaining terms remain in full effect.
  • 14. Modification. These terms can only be modified in writing signed by both parties.
  • 15. Data Integrity. The laboratory maintains strict version control and audit trails for all digital records.
  • 16. Client Responsibilities. Clients must provide accurate sample declarations and safety data sheets.
  • 17. Technical Inquiries. Direct support is provided during standard business hours for data interpretation.
  • 18. Method Validation. Custom methods are validated to client-specific industry standards.
  • 19. Reporting Protocol. reports are issued electronically via the secure Client Portal.
  • 20. Use of Name. Neither party shall use the other's name for promotion without written consent.
  • 21. Third-Party Rights. These terms do not confer rights to any third-party beneficiaries.
  • 22. Entire Agreement. This document constitutes the full agreement between the parties regarding testing services.
Client Acknowledgment

By submitting samples to AV Analytics, LLC, the Client acknowledges having read, understood, and agreed to these Terms and Conditions in full. Any deviation from these terms must be documented in a signed master service agreement.

AV Analytics Service Agreement

  • 1. PROVISION OF SERVICES: AV Analytics, LLC (the "Laboratory") agrees to provide analytical testing services as specified in the accepted Service Quote or Sample Submission Form.
  • 2. SAMPLE SUBMISSION: Client is responsible for providing sufficient sample volume and accurate documentation. Samples must be clearly labeled and shipped according to Laboratory guidelines.
  • 3. TURNAROUND TIMES: Estimated turnaround times start from the next business day after sample receipt and documentation approval. While we strive for accuracy, TATs are estimates and not guarantees.
  • 4. PAYMENT TERMS: Invoices are due net 30 days unless otherwise specified. Failure to pay may result in suspension of services or withholding of reports.
  • 5. CONFIDENTIALITY: The Laboratory holds all client data and results in strict confidence. No information will be released to third parties without written consent, except where required by law.
  • 6. INTELLECTUAL PROPERTY: All data generated for the Client remains the property of the Client upon full payment of invoices. Analytical methods and SOPs remain the property of the Laboratory.
  • 7. LIMITATION OF LIABILITY: Laboratory liability is limited to the cost of the specific testing performed. Indirect or consequential damages are expressly excluded.
  • 8. INDEMNIFICATION: Client agrees to indemnify the Laboratory against claims arising from the use or distribution of tested products by the Client.
  • 9. RECORD RETENTION: Raw data and reports are retained for a period of five years unless a different retention schedule is agreed upon in writing.
  • 10. FORCE MAJEURE: Neither party is liable for delays caused by circumstances beyond their reasonable control, including natural disasters or government restrictions.
  • 11. TERMINATION: Either party may terminate the agreement with 30 days written notice. Finished work must be paid for in full prior to closure.
  • 12. DISPUTE RESOLUTION: Any disputes shall be settled through binding arbitration in the jurisdiction where the Laboratory is located.
  • 13. COMPLIANCE: Testing is performed in accordance with our Internal Quality Management System and relevant standard methods.
  • 14. SAMPLE DISPOSAL: Unused sample portions are typically disposed of 30 days after reporting unless return shipping is pre-arranged.
  • 15. SUBCONTRACTING: The Laboratory reserves the right to use qualified partner labs for specialized testing, with notice given to the Client.
  • 16. AMENDMENTS: These terms may be updated from time to time; the version in effect at the time of sample receipt shall apply.
  • 17. SEVERABILITY: If any provision is found invalid, the remaining terms shall continue in full force.
  • 18. ENTIRE AGREEMENT: This constitutes the entire agreement between both parties regarding the specified testing services.
  • 19. CLIENT ACKNOWLEDGMENT: By submitting samples, the Client confirms acceptance of these Terms and Conditions in full.
  • 20. GOVERNING LAW: This agreement is governed by the laws of the state of operation of AV Analytics, LLC.
  • 21. CERTIFICATE OF ANALYSIS: Results are valid only for the specific sample tested as received by the laboratory.
  • 22. RE-TESTING POLICY: Client requested re-tests will be billed at standard rates unless the original result is found to be in error.

CLIENT ACKNOWLEDGMENT: I have read and understood the terms above and agree to be bound by them for all current and future sample submissions to AV Analytics, LLC.

Service Agreement Overview

The following Terms and Conditions govern the professional relationship between AV Analytics, LLC and our clients. This comprehensive agreement details our operational standards, legal obligations, and service commitments to ensure analytical precision and operational excellence.

1. Acceptance of Terms

By accessing or using the services provided by AV Analytics, LLC, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

2. Description of Services

AV Analytics provides specialized analytical testing for peptides, pharmaceuticals, and research compounds using high-precision instrumentation.

3. Client Obligations

Clients must provide accurate sample data, safety documentation (SDS), and follow all submission protocols detailed in the Client Portal.

4. Sample Submission

All samples must be shipped in accordance with local and federal regulations. AV Analytics is not responsible for samples damaged during transit.

5. Turnaround Times (TAT)

Standard TAT is 5-7 business days unless otherwise specified in a custom proposal. Expedited services are available upon request.

6. Pricing and Payment

All pricing is provided via formal proposal. Payment terms are Net 30 from the date of invoice unless agreed otherwise in writing.

7. Intellectual Property

Analytical methods developed specifically for a client remain the property of AV Analytics unless a transfer of ownership is explicitly contracted.

8. Confidentiality

Both parties agree to treat all shared technical data and business information as confidential, protected by standard non-disclosure practices.

9. Data Integrity

AV Analytics maintains rigorous laboratory records and internal controls to ensure the validity and integrity of all reported results.

10. Use of Results

Client results are provided for internal research or regulatory filing purposes and should not be used in promotional materials without consent.

22. Amendments

AV Analytics reserves the right to update these terms. The current version will always be available on our website.

Service Agreement Overview & Legal Terms

The following terms and conditions constitute a binding agreement between AV Analytics, LLC and the Client. Please review these provisions carefully to understand our service parameters, payment obligations, and liability limitations.

1. Scope of Services: AV Analytics, LLC provides analytical testing services as defined in the project proposal or service order. Any changes to the scope must be agreed upon in writing. 2. Independent Analytical Testing: Results provided are based on independent, third-party analysis using validated laboratory methods. 3. Payment and Billing Terms: Invoices are issued upon completion of analysis or as milestone-based payments. Net 30 terms apply unless otherwise specified. 4. Intellectual Property & Confidentiality: All data generated for the Client remains the property of the Client. AV Analytics maintains strict confidentiality regarding all project details. 5. Liability and Disclaimers: Liability is limited to the cost of the services provided. AV Analytics is not liable for indirect or consequential damages emerging from the use of testing data. 6. Termination of Services: Either party may terminate the agreement with 30 days' written notice. The Client is responsible for costs incurred up to the termination date. 7. Quality Compliance: All laboratory operations adhere to established industry quality standards and regulatory guidelines. 8. Sample Retention: Samples are retained for 30 days following report issuance unless a different duration is requested in writing. 9. Reporting Procedures: Validated Certificates of Analysis (COAs) are delivered securely through the Client Portal. 10. Communication Protocols: Direct communication with scientific personnel is available for all technical inquiries. 11. Data Integrity: We ensure total integrity and secure storage of all analytical data for a period of five years. 12. Regulatory Support: Technical support for regulatory filings is provided as part of specialized project agreements. 13. Subcontracting: Certain specialized tests may be performed by qualified partner laboratories with Client notification. 14. Force Majeure: AV Analytics is not liable for delays caused by circumstances beyond our reasonable control. 15. Indemnification: The Client agrees to indemnify AV Analytics against claims arising from the misuse of testing results. 16. Governing Law: This agreement is governed by the laws of the jurisdiction in which the laboratory operates. 17. Dispute Resolution: Disputes shall be settled through mediation before proceeding to legal action. 18. Entire Agreement: These terms constitute the entire agreement and supersede all prior discussions or proposals. 19. Amendments: Terms may be updated periodically; current versions are available on the AV Analytics website. 20. Severability: If any provision is found invalid, the remaining terms remain in full force. 21. Notices: Legal notices must be delivered to the primary business address of the laboratory. 22. Client Acknowledgment: By engaging our services, the Client acknowledges and accepts these Terms and Conditions in full.

Termination of Services

Services may be terminated via written notice as specified in the Master Service Agreement. Upon termination, client remains responsible for all fees incurred for work completed or in progress. All confidential data will be handled in accordance with the records retention policy defined in the Service Agreement Overview.
